1. Acceptance of these Terms
These Terms of Service (the “Terms”) govern your access to and use of the Parry websites, applications, and related services (collectively, the “Service”). “Parry,” “we,” “us,” and “our” refer to the company operating the Service.
By accessing or using the Service, you agree to these Terms and acknowledge that you have read and understand them. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to that organization.
2. Eligibility and age requirements
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms.
The Service is not intended for children under 13, and we do not knowingly collect personal information from children under 13.
3. Accounts, security, and access
You may need an account to access certain features. You agree to provide accurate information and to keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You may not share, sell, rent, or transfer your account except as expressly permitted by us.
- You must promptly notify us if you suspect unauthorized access to your account.
We may suspend or terminate accounts to protect the Service, comply with law, or enforce these Terms.
4. The Service (and changes)
Parry enables interactive experiences, including character or AI-assisted video and chat interactions. Features may change over time, and some features may be in beta.
We may modify, suspend, or discontinue any part of the Service at any time, including availability of features, content, or integrations. We will try to provide notice when reasonable, but we do not guarantee any particular feature will remain available.
5. Credits, purchases, and billing
Some features require purchasing credits or making payments. Credits are virtual items with no cash value and are not a bank account, deposit, or stored value.
- Purchases. You authorize us (or our payment processor) to charge your payment method for purchases. Prices and available denominations may change.
- No refunds. Except where required by law, purchases (including credits) are final and non-refundable once delivered.
- No transfer. Credits are personal to your account and may not be sold, traded, gifted, or transferred.
- Expiration. We may set reasonable rules for credit expiration or inactivity, subject to applicable law and any required notice.
- Taxes. You are responsible for any applicable taxes or fees.
If your payment fails, we may suspend access to paid features until payment is completed.
6. User content and permissions
The Service may allow you to submit, upload, transmit, or otherwise provide content, including text, audio, video, images, prompts, feedback, and other materials (“User Content”).
- You retain ownership. As between you and Parry, you retain any rights you have in your User Content, subject to the license you grant below.
- License to Parry. You grant Parry a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, and display your User Content as necessary to operate, improve, secure, and provide the Service, including to enforce these Terms.
- Feedback. If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.
You represent and warrant that you have all rights necessary to provide User Content and grant the above license, and that your User Content does not violate law or the rights of any third party.
7. Acceptable use and prohibited conduct
You agree not to use the Service in ways that are harmful, illegal, or that interfere with others’ use of the Service.
- Do not harass, threaten, stalk, or abuse others; do not encourage violence or self-harm.
- Do not create, upload, or share content that is unlawful, defamatory, obscene, sexually exploitative, or otherwise harmful.
- Do not impersonate others or misrepresent your affiliation with any person or entity.
- Do not attempt to bypass safety filters, access controls, rate limits, or other restrictions.
- Do not reverse engineer, scrape, or extract data from the Service except where permitted by law or by written agreement with us.
- Do not use the Service to develop or train competing models or systems without our prior written consent.
- Do not upload malware, attempt to hack, or interfere with the security or operation of the Service.
We may remove content and suspend or terminate accounts that violate these rules, and we may cooperate with law enforcement as required.
8. AI/character interactions and safety notice
The Service may generate responses or experiences using automated systems (including AI). Outputs may be inaccurate, incomplete, or inappropriate, and may not reflect Parry’s views.
- No professional advice. The Service does not provide medical, legal, financial, or other professional advice. Do not rely on outputs as a substitute for advice from qualified professionals.
- Emergency situations. If you or someone else is in immediate danger, call local emergency services.
- User responsibility. You are responsible for your interactions and for how you use any outputs from the Service.
We may implement safety tools, moderation, and automated detection. You understand that no system is perfect, and you agree to use the Service responsibly.
9. Intellectual property
The Service (including software, design, text, graphics, logos, and proprietary content) is owned by Parry or its licensors and is protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, or create derivative works of the Service except as permitted by law or by written agreement with us.
10. Third‑party services and links
The Service may integrate with or link to third-party services (including payment processors, app stores, and hosting providers). We do not control third-party services and are not responsible for them. Your use of third-party services may be governed by those providers’ terms and policies.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service (including any accounts) if we believe you violated these Terms or if we need to protect the Service, other users, or comply with law.
Upon termination, your right to access the Service will cease. Any provisions that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution).
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not guarantee the Service will be uninterrupted, secure, or error-free, or that any outputs will be accurate or reliable.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARRY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARRY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PARRY FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100 USD.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Parry and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms or applicable law.
15. Dispute resolution; arbitration; class action waiver
Please read this section carefully. It affects your legal rights and may require individual arbitration of disputes.
Informal resolution. Before filing a claim, you agree to try to resolve disputes informally by contacting us at [support@parryai.site] with a description of the issue. We will try to resolve disputes within a reasonable time.
Arbitration. Except for disputes that qualify for small claims court or requests for injunctive relief, you and Parry agree that disputes arising out of or relating to these Terms or the Service will be resolved by binding, final, and individual arbitration, rather than in court.
- The arbitration will be conducted by a recognized arbitration provider (e.g., AAA or JAMS) under its consumer rules, as modified by these Terms.
- The arbitrator may award the same relief a court could award, but only on an individual basis.
- Arbitration will take place in the United States unless you and Parry agree otherwise, and the proceedings may be conducted remotely where allowed by the rules.
Class action waiver. You and Parry agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.
Opt‑out. You may opt out of this arbitration agreement by sending written notice to [opt-out address/email] within 30 days of first accepting these Terms, stating your name, account email, and a clear statement that you wish to opt out.
Governing law. These Terms are governed by the laws of [BVI], without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs the arbitration agreement.
16. Miscellaneous
- Changes. We may update these Terms from time to time. If changes are material, we will provide notice by reasonable means. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.
- Privacy. Your use of the Service is also subject to our Privacy Policy (if provided).
- DMCA / copyright. If you believe content on the Service infringes your copyright, send a notice to [Aegis International Group Limited].
- Entire agreement. These Terms constitute the entire agreement between you and Parry regarding the Service and supersede prior agreements regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- No waiver. Failure to enforce any provision is not a waiver of our right to do so later.
